Terms of Service

1. Acceptance of Terms
By accessing or using the KeyGrid PKI platform, HSM services, and related products (collectively, the "Services") provided by KeyGrid ApS ("KeyGrid," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.
2. Description of Services
KeyGrid provides enterprise-grade Public Key Infrastructure (PKI) services, Hardware Security Module (HSM) integration, certificate management, and related security services. Our Services include but are not limited to certificate issuance, management, revocation, and validation through various protocols (ACME, SCEP, EST, CMP, OCSP).
3. Account Registration
To use our Services, you must:
- Register for an account with accurate and complete information
- Maintain the security of your account credentials
- Be at least 18 years old or have legal authority to bind your organization
- Promptly update your account information as needed
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
- Transmit malware, viruses, or harmful code
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Use certificates for fraudulent purposes
5. Certificate Subscriber Agreement
When requesting certificates, you additionally agree to:
- Provide accurate information in certificate requests
- Protect private keys associated with issued certificates
- Request revocation if private keys are compromised
- Use certificates only for their intended purposes
- Comply with our Certificate Policy and Certification Practice Statement
6. Service Level Agreement
Enterprise customers are subject to a separate Service Level Agreement (SLA) that specifies uptime guarantees, support response times, and remedies for service disruptions. The SLA is incorporated by reference into these Terms.
7. Fees and Payment
- Fees are as specified in your subscription agreement or order form
- Payment is due according to the billing cycle specified
- All fees are non-refundable unless otherwise stated
- We may modify fees with 30 days advance notice
- Late payments may incur interest at 1.5% per month
8. Intellectual Property
KeyGrid retains all rights, title, and interest in the Services, including all intellectual property rights. You are granted a limited, non-exclusive license to use the Services during your subscription term. You may not copy, modify, distribute, or reverse engineer any part of the Services.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the relationship. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from third parties.
10. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KEYGRID DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYGRID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold KeyGrid harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
13. Termination
Either party may terminate the agreement with 30 days written notice. KeyGrid may suspend or terminate access immediately for violation of these Terms. Upon termination, your access to the Services will cease, and you must delete any KeyGrid materials.
14. Governing Law
These Terms are governed by the laws of Denmark without regard to conflict of law principles. Any disputes shall be resolved in the courts of Copenhagen, Denmark.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.
